Terms & conditions

These terms of use and sale (the “Terms”) govern the use of the Pooly app and related services, and the sale of the Premium and Pooly MAX subscriptions. They are agreed between Morgan Bouchard EI, a sole proprietorship trading as 2B WEB, which operates the Pooly brand (“Pooly”, “we”), and any person who creates an account (“you”). You accept them by ticking the box provided when you create your account, whether you sign up with an email address or with Google or Apple; the accepted version and its date are recorded, and no top-up or subscription is possible without this acceptance. They remain available at any time in the app (Menu › “Legal” section) and at pooly.info/cgv.

Definitions

  • “Group”: a space shared by several members, with its pot, expenses and cards. The “organizer” is the member who created the group (or the member who replaced them); “admins” are the members appointed, in admin mode, by the organizer or by another admin.
  • “Pot”: a group’s shared balance, funded by members’ top-ups and kept by Pooly.
  • “Top-up”: an amount paid by a member into their group’s pot.
  • “Pooly card”: a member’s personal virtual payment card for a given group.
  • “Premium” and “Pooly MAX”: the paid subscriptions taken out for a group by one of its members, the “payer”, who is their sole holder and pays their price, for the benefit of every member of the group.

Eligibility

  • The service is reserved for individuals aged 18 or over who have the legal capacity to enter into contracts. Your date of birth is requested at sign-up and checked against the current date by the app and by our servers: sign-up is refused under 18.
  • You agree to provide accurate, complete and up-to-date information, and to correct it if it changes. To obtain a card, your identity is also verified by Stripe Identity (section 10); we may also ask you for proof of identity (section 15).
  • Your account is personal: you may not share it, transfer it or open it in someone else’s name.
  • An account opened by a minor or with inaccurate identity details may be suspended and then closed (section 15).

Creating your account

  • With an email address: you enter your first name, last name, date of birth, email address and phone number, and choose a password of at least 8 characters including an uppercase letter, a digit and a special character. Your password is only stored in hashed form: nobody at Pooly can read it.
  • With Google or Apple: Pooly receives from that provider your account identifier with them, your email address (Apple may provide a private relay address that forwards our messages to your real address) and your first and last name. Pooly never receives your Google or Apple password. You enter your date of birth and phone number, and accept these Terms, just as with an email sign-up. Your use of your Google or Apple account remains governed by that provider’s terms.
  • Commercial offers: a separate, optional box, unticked by default, lets you agree to receive our commercial offers and newsletter by email. Leaving it unticked has no effect on your access to the service, and you can withdraw your agreement at any time (see the privacy policy).
  • The contract is concluded for an indefinite term as soon as your account is created. It ends as set out in section 15.

Account security

  • Your credentials are personal and confidential. You are responsible for protecting them and for actions carried out from your account, except after you have told us they were lost, stolen or used fraudulently.
  • If you sign in with Google or Apple, the security of your Pooly account also depends on that account: protect it (strong password, two-step verification).
  • On your phone, your session is kept in the system’s secure storage (iOS Keychain or Android Keystore). You can turn on unlocking with Face ID, Touch ID or fingerprint: recognition is performed by your phone and Pooly receives no biometric data.
  • Menu › Security lets you change your password and sign out your other devices.
  • If you lose your phone, suspect unauthorised access or see a card payment you do not recognise, block your card in the app and tell us without delay (Menu › Report a problem, or contact@pooly.info).

The service

Pooly lets you manage a group’s money: create groups and invite members (link or QR code), fund a shared pot, pay with a Pooly card, track and comment on expenses, see the split between members and close a group, returning each member’s share.

  • Free plan: all of these features, with a personal virtual card for every member of every group, usable for contactless payments up to €500 per payment. A processing fee applies to top-ups (section 9).
  • Premium plan, per group (section 11): for the cards of all group members, online purchases, cash withdrawals and up to €2,000 per payment, and no processing fee on the first €300 paid into the group each calendar month (section 9).
  • Pooly MAX plan, per group (section 11): all Premium benefits, plus no processing fee on the group’s top-ups by SEPA direct debit, whatever the amount paid in during the month, and on the first €600 paid into the group each calendar month by card (including Apple Pay or Google Pay) or bank transfer (section 9), no closing fee (section 12) and up to €5,000 per payment. The plans unlock no feature of the app: the accounting export of the group’s top-ups and expenses (CSV file) and the full card number are free for everyone.

Groups and governance

  • The creator of a group is its organizer (super admin): nobody can take this role away from them or remove them from the group. The organizer chooses “democracy” mode (decisions shared between members, with no admins; every member can invite new members) or “admin” mode (the organizer and the admins manage the budget, the cards’ per-payment limit and the group settings; only they can invite new members, and the organizer as well as any admin can appoint or remove other admins, never the organizer). Closing the group follows the rules of section 12: decided by the organizer or an admin in admin mode, voted on by the members in democracy mode.
  • Responsibility for the group’s decisions: the organizer and the admins take the decisions that are theirs (budget, limits, invitations, removing members, closure) under their own responsibility, in the group’s interest and in compliance with these Terms and the law. Pooly provides the tool: it does not take these decisions in their place and does not arbitrate the group’s choices (section 17).
  • Limits: a group has at most 50 members, organizer included. You can have at most 30 open groups that you created, and create at most 10 groups in any 24-hour period (closed groups included).
  • Members of a group see the pot balance, the top-ups, card payments and expenses of that group, and each member’s display name and photo. Your phone number is only visible if you turn on “Share my number with my groups”.
  • You can leave a group at any time: your card for that group is cancelled, your top-ups stay in the pot and your share is returned to you when the group closes (section 12). An organizer first chooses who replaces them. The organizer, or an admin in admin mode, can remove a member, who then keeps their share on the same terms. If the member who leaves or is removed pays the group’s Premium or Pooly MAX subscription, that subscription ends at the end of the current period (section 11).
  • Recorded expenses are used to track and share costs. Pooly is not a party to agreements between members and does not automatically settle debts between them.
  • Money in a pot cannot be transferred to another pot: it is used for the group’s spending and goes back to the members when the group closes (section 12).

Payments: Stripe’s role

Morgan Bouchard EI (2B WEB) is not a bank, a payment institution or an electronic money institution. Payments (card, including Apple Pay and Google Pay, SEPA direct debit and bank transfer) are processed on behalf of Morgan Bouchard EI (2B WEB) by Stripe: Stripe Payments Europe, Ltd. (Ireland); regulated payment services are provided by Stripe Technology Europe, Limited, an electronic money institution authorised by the Central Bank of Ireland — stripe.com. Pooly cards are issued by a partner electronic money institution, and the identity verification that comes first is performed by Stripe Identity. Pooly’s servers never receive or store full card numbers or security codes. Top-ups are collected by Stripe on behalf of Morgan Bouchard EI (2B WEB); the balance of each pot (top-ups, less card payments, fees and returned shares) is kept by Pooly and shown in the app.

On bank statements, a card payment appears under a descriptor ending in “* POOLY” (the start of the descriptor is the short name of the publisher’s payment account), a SEPA debit as “POOLY”, the Premium subscription as “POOLY PREMIUM” and the Pooly MAX subscription as “POOLY MAX”; a bank transfer appears as the payer’s own transfer, with the reference shown in the app.

Top-ups and fees

  • Payment methods: card (including Apple Pay or Google Pay), SEPA direct debit and bank transfer. A card top-up is credited as soon as it is confirmed; a SEPA debit is confirmed by the bank within a few days; a bank transfer is credited when received, with the reference shown in the app.
  • Payment method used: you guarantee that you hold the card, the debited bank account or the account the transfer comes from, or that its holder has authorised you to use it.
  • Minimum and limits: €10 minimum per top-up, whatever the payment method (when the “Adjust the charge” option is chosen, this minimum applies to the amount received by the pot); €2,000 maximum per top-up (amount charged, fees included) and €3,000 per user over 24 hours.
  • Processing fee: each top-up carries a single fee, calculated on the amount charged from Stripe’s rates for the payment method used (card, Apple Pay or Google Pay: 1.5% + €0.25; SEPA direct debit: 0.35%, capped at €5; bank transfer: 0.5%, capped at €5). The fee equals the whole-euro part of that cost, plus €0.99. Examples: a cost of €3.25 (a €200 card top-up) gives a €3.99 fee; a cost of €0.40 gives €0.99; a cost of €5.00 gives €5.99. This fee covers the payment cost and the Pooly service.
  • Premium group: no processing fee on the first €300 paid into the group during each calendar month (Paris time), all members and payment methods combined; for that part, the pot receives the full amount paid and Pooly bears the cost charged by Stripe. Above that, the processing fee applies as usual; a top-up exceeding what is left for the month only bears the fee on the part above, calculated as for a top-up of that amount alone. The amount left is shown before each top-up and fixed when the top-up is started.
  • Pooly MAX group: no processing fee on top-ups by SEPA direct debit, whatever the amount paid in during the month (within the limits above); these top-ups do not count towards the monthly amount below. By card (including Apple Pay or Google Pay) or bank transfer, no processing fee on the first €600 paid into the group during each calendar month (Paris time), all members combined; above that, the processing fee applies as usual, on the same terms as for a Premium group (only the part above what is left for the month bears the fee; the amount left is shown before each top-up and fixed when the top-up is started). For the fee-free part, the pot receives the full amount paid and Pooly bears the cost charged by Stripe.
  • The processing fee is deducted from the top-up before it reaches the pot, or added to the amount charged if you choose for the pot to receive exactly the amount entered (“Adjust the charge” option, offered by default). The exact fee and the amount credited are shown before you confirm the top-up (“Add money” screen, “Details and terms”).
  • Once confirmed, a top-up stays in the group’s pot: it cannot be cancelled at your request, except where the law provides otherwise, and is returned to you under the closure rules (section 12).
  • Disputed top-up: if a top-up is disputed with the bank or returned (chargeback on a card payment, refund or return of a SEPA direct debit), the amount taken back by the bank is removed from the pot balance and from the share of the member who paid it in; it is added back if the dispute is rejected. Pooly may then suspend the group’s top-ups, cards or closure while it is reviewed (section 15).

Pooly cards

  • Each member can obtain a personal virtual card (Visa or Mastercard, depending on the issuer) for each of their groups. To do so, they enter their postal address, which must be in the European Economic Area (the 27 European Union countries, Iceland, Liechtenstein and Norway), accept the card terms of use, including those of Stripe and of the card issuer, and have their identity verified by Stripe Identity (a photo of an ID card, passport or driving licence, and a selfie). The verification applies to all their groups. Without a successful verification, no card is issued; issuance remains subject to the eligibility rules set by Stripe.
  • Once your identity is verified, your first name, last name and date of birth can no longer be changed in the app: write to contact@pooly.info to correct them.
  • Card payments are drawn from the group’s shared pot, within its balance and the per-payment limit set by the organizer or admins (at most €500, €2,000 for a Premium group or €5,000 for a Pooly MAX group). A member can therefore pay beyond what they personally put in, within these limits.
  • Contactless payments are open to everyone; online purchases and cash withdrawals require Premium or Pooly MAX and are turned on card by card. Some merchant categories are always declined, including gambling and betting, money transfers and money orders, prepaid card top-ups, cash-like transactions at financial institutions and securities brokerage.
  • An authorised payment is held on the pot until the merchant confirms it; merchant refunds are credited back to the pot.
  • You can block and unblock your card in the app. The group can choose to block cards when the balance falls below a threshold; a group admin or Pooly can block a card, in particular in case of risk or breach of these Terms. Your card is cancelled when you leave the group, and all the group’s cards are deactivated when it closes.
  • The card can be added to Apple Wallet or Google Wallet where this option is available.
  • Pooly cards are commercial cards: they include no insurance or guarantee (travel, baggage…). Pooly’s servers never receive or store the full card number or its security code: this data is handled by the card issuer and its technical provider, Stripe.
  • You agree to use your card only for spending that complies with your group’s rules and the law. Fraudulent or abusive use may lead to the card being blocked and the account being closed.

Premium and Pooly MAX subscriptions

  • Price, per group (VAT not applicable, article 293 B of the French General Tax Code (CGI)): Premium €3.99 per month or €39 per year; Pooly MAX €9.99 per month or €99 per year; payable by card or SEPA direct debit. The price and plan are shown in the app before you subscribe. In this section, “Premium” means either plan unless stated otherwise.
  • Subscription holder: the subscription is taken out for a group by one of its members, the “payer”. The subscription contract is concluded between the payer and Pooly: the payer is its sole holder, pays its price and alone exercises the rights attached to it (changing plan, cancelling, withdrawing). One subscription per group; every member of the group enjoys its benefits while it is active.
  • Payment on subscription: the price of the first period (one month or one year depending on the chosen plan) is paid when you subscribe, by card (including Apple Pay and Google Pay) or SEPA direct debit. Before this payment, the box provided for this purpose records your express request for the subscription to start immediately, before the end of the withdrawal period (section 13). Premium turns on as soon as the payment is accepted; for a SEPA direct debit, once your bank confirms it (usually within a few business days). If the payment is interrupted or declined, no subscription is active and nothing is owed.
  • Email confirmation: your subscription is confirmed by an email (durable medium) summarising the plan, its price and billing period, with a link to these Terms and to the withdrawal form (section 13); cancellation is confirmed in the same way, with the date on which the subscription ends.
  • Monthly plan: a subscription with no minimum term, paid monthly in advance and renewed automatically every month. You can cancel it at any time; cancellation takes effect at the end of the current, already paid, subscription month, with no further payment.
  • Annual plan: a one-year subscription, paid in advance and renewed automatically for one year unless cancelled before the renewal date. Under Article L.215-1 of the French Consumer Code, we inform you by a dedicated email, no earlier than three months and no later than one month before the renewal date, that you may choose not to renew the subscription, with the cancellation deadline shown in a clearly visible box. If this notice was not sent to you on those terms, you may end the subscription free of charge at any time from the renewal date; amounts paid after the last renewal date are then refunded within thirty days of termination, less those corresponding to the performance of the contract up to that date.
  • Switching from Premium to Pooly MAX: one plan per group; the payer changes plan on the Premium screen, keeping the same billing period. The price difference, calculated pro rata for the time left in the current period when the switch is requested, is invoiced straight away, and Pooly MAX is only granted once that difference is paid: by card, as soon as the payment is accepted (after any 3-D Secure authentication); by SEPA direct debit, when the funds are received, usually a few business days later. If this payment is declined or not made within 24 hours, the difference invoice is cancelled and the group stays on Premium, with nothing owed. By SEPA direct debit, switching to Pooly MAX is not possible in the 14 days before the renewal date: it can be requested after the renewal.
  • Going back from Pooly MAX to Premium: the change takes effect at the next renewal, and Pooly MAX stays on until then. No proration applies: the period already paid gives right to neither a credit nor a refund, and the Premium price applies from that renewal. The payer can cancel this change before that date.
  • Cancellation: the payer can cancel at any time, free of charge, from the Premium screen in the app (“Cancel at period end”) or by writing to contact@pooly.info. Cancellation takes effect at the end of the current period (month or year): the subscription stays on until then, then stops with no further payment; if its first payment did not go through, it stops straight away. The next payment date is shown on the Premium screen. Only the payer can cancel or resume the subscription. An amount already due on the cancellation date (late payment) remains due.
  • Payer leaving: if the payer leaves the group or is removed from it by the organizer or an admin, the subscription ends at the end of the current period, with no further payment; if it has never been paid, it stops straight away (a first SEPA direct debit already under way is refunded as soon as it is received). An amount already due on that date (late payment) remains owed by the payer and can still be collected from their payment method.
  • Group closure: the subscription stops immediately when the group is closed (section 12).
  • No refunds: a subscription period that has started is due in full and is never refunded, not even partly or pro rata — in particular on cancellation, when the payer leaves, when going back from Pooly MAX to Premium or when the group closes —, including for the annual plan, paid in advance for one year, apart from the only exceptions required by law: withdrawal within 14 days, refunded as set out in section 13; termination on our initiative without any breach on your part (section 15), which gives rise to a pro rata refund of the unused period; failure to send the notice before an annual subscription renews (above); the legal guarantee of conformity (section 16). A payment charged by mistake (twice for the same period, or after the subscription stopped) is not owed: it is returned to you.
  • Failed payment: if a subscription payment fails, Stripe automatically presents it again; the payer, told by a notification and an email, can save a new payment method on the Premium screen. The subscription’s benefits stay on for 3 days after the failure, then are suspended until payment: the group is then treated as a Free plan group (processing fees, limits, closing fee). They come back as soon as the payment goes through. The amount for the period remains due and can still be collected; no late-payment penalty is charged. If every new presentation fails, the subscription stays suspended or ends.
  • Disputed payment: if a subscription payment is disputed with the bank (chargeback on a card payment, refund request on a SEPA direct debit), the subscription’s benefits are suspended as soon as we learn of it, and we may end the subscription. If you had authorised that payment, the corresponding amount remains due; if it was made without your consent, write to contact@pooly.info so that we can look into it with you.
  • Price changes: any price change is announced to you by email at least 30 days in advance and only applies from the next period; you can cancel free of charge before it applies.

Closing a group and returning shares

  • Closing decision. In admin mode, the organizer or an admin closes the group; they cannot take a member’s share away: only the member concerned can waive it, and the share of a member an admin would like to exclude is still returned to that member (below), never given to the other members. In democracy mode, the organizer proposes closing and each current member votes “yes” or “no”, and can change their vote until voting ends. Voting ends as soon as all members have voted and no later than 7 days after the proposal. The decision is taken by a majority of the votes cast: a member who does not vote abstains, and the result applies to them like everyone else. If “yes” wins, the closure is carried out automatically 24 hours after the result, unless the organizer cancels it; on a tie or a majority of “no”, the pot stays open and the organizer can propose closing again 24 hours after voting ended. Members are notified of the proposal, the result and the closure; those who have not voted get a reminder 24 hours before voting ends. While a closure is in progress, the pot no longer accepts top-ups or new members and, during the vote, no member can be removed.
  • Closure is final: all the group’s cards are deactivated immediately, the pot can no longer receive money and any Premium or Pooly MAX subscription stops (section 11).
  • Closure fee: €1 per group, or €1 per current member of the group at the time of closure (former members are not counted), as chosen by the organizer; it is taken from the remaining balance and never more than that balance (no fee when the pot is at €0). No closure fee for a group whose Pooly MAX subscription is active at the time of closure.
  • Split: after this fee, the remaining balance is shared between members, former members included, in proportion to their share of the pot (top-ups net of refunds). A member who put nothing in receives nothing. Every member gets their share by default, even if they did not vote; only the member concerned can waive it (in democracy mode, until the closure is carried out), and it is then shared between the others in the same way. At least one member must receive their share. Where shares are not known, the balance is split equally between current members.
  • Return of shares: your share is returned by refunding your own card or direct debit top-ups, to the payment method used, starting with the most recent (usually within 5 to 10 business days). Whatever cannot be refunded this way (bank transfer top-ups, a share coming from another member’s waiver, a payment that is too old or disputed) is paid to you by bank transfer by the Pooly team, who will contact you for your bank details and may ask you for proof of identity. The status of each return is shown in the app.
  • Redistributed shares and holds: a share coming from another member’s waiver is only paid once the payments it comes from can no longer be disputed or taken back by the bank of the person who made them (for example 8 weeks after a SEPA direct debit is charged). Pooly may also suspend a closure or hold back a return, for as long as checks require, in case of suspected fraud, a disputed payment or a dispute (section 15).

Right of withdrawal

If you are a consumer, wherever you live, you can withdraw from any Premium or Pooly MAX subscription within 14 days, without giving any reason (Articles L.221-18 et seq. of the French Consumer Code, Directive 2011/83/EU). This right belongs to the payer, the subscription holder (section 11).

  • Deadline: 14 days from the day you subscribe, that is the day the subscription contract is concluded; that day does not count. If the last day falls on a Saturday, a Sunday or a public holiday, the period is extended to the next working day. You only need to send us your decision before the period ends; the deadline is also shown in the subscription confirmation email.
  • How: tell us of your decision with a clear statement, from the app (Menu › Contact us), by email to contact@pooly.info or by post to the address given in section 2, stating the group concerned and your account’s email address. You may use the model form below, but you do not have to. We acknowledge receipt of your withdrawal by email without delay.
  • Immediate start requested: if you asked for the subscription to start straight away (box ticked before the payment, section 11), you only pay for the service provided until you tell us of your withdrawal, that is an amount in proportion to the time elapsed in the paid period (one month or one year); the rest of the price is refunded. For example, for a €3.99 monthly subscription in a 30-day month, a withdrawal sent 3 days after subscribing gives a refund of about €3.59.
  • Immediate start not requested: the full price paid is refunded.
  • Refund: without undue delay and no later than 14 days after the day we were informed of your decision, using the same payment method as for the subscription, unless you expressly agree to another one; you incur no fees for this refund. The subscription and its benefits end as soon as we process your withdrawal.
  • Where the law gives you a right of withdrawal for another paid Pooly service, it is exercised in the same way.

Your commitments and content you post

  • Use the service in accordance with the law and these Terms: no fraud, money laundering, financing of illegal activities or identity theft, and no attempt to disrupt the service or get around its limits and security.
  • Only use payment methods that you hold or that their holder has authorised you to use, with funds of lawful origin, and do not wrongly dispute a payment you authorised: if you disagree with a payment, write to us first.
  • Respect other members and the rules agreed in your groups.
  • You are responsible for the content you post (group names and photos, profile photo, comments): it must not be unlawful or offensive, or infringe the rights of others. You allow us to host it and display it to the members of your groups, solely for the purposes of the service.
  • Reports: you can report unlawful content or inappropriate behaviour via Menu › Report a problem or to contact@pooly.info, which is also our single point of contact, in French or English, under the EU Digital Services Act. We review every report; if we remove content or restrict an account, we inform the person concerned and give the reasons, unless the law prevents it.

Suspension and termination

  • By you: you can stop using the service at any time and delete your account yourself in the app (Settings › Delete my account), after confirming your identity; deletion is immediate and final. It is possible as soon as nothing is left to settle: you organize no open group (close it or hand over), you pay for no subscription that is still running (a cancelled subscription keeps running until the end of the paid period), you have no money left in an open group, no payment, share return or refund is under way and none of your cards is active. The app shows what is left to do; open groups where you are a plain member with no money are left automatically. If you cannot settle one of these points yourself (for example money in a group that nobody closes), write to contact@pooly.info. What is kept after deletion, and for how long, is set out in the privacy policy.
  • By Pooly, with immediate effect: we may suspend all or part of your account or of a group (top-ups, cards, closure, returns and payments made by the team) in case of a serious breach of these Terms, fraud or serious suspicion of fraud, a disputed payment, a dispute brought to our attention, inaccurate information, a risk to the security of other users or of group funds, or at the request of an authority or of Stripe. We may then ask you for proof of identity or any useful document (for example the consent of the payment method’s holder); the measure lasts as long as the checks require. We give you the reasons, unless the law prevents it. If the breach is established and not remedied, we may terminate the contract and close the account.
  • Amounts owed to Pooly: any amount you received by mistake (a return calculated on a payment later disputed, returned or refunded, a duplicate payment, an error) must be paid back to us, as must any amount Pooly lost because you wrongly disputed a payment you had authorised. We may deduct it from what is due to you, or claim it from you.
  • By Pooly, without any breach on your part: we may terminate the contract or discontinue the service with at least 30 days’ notice, given by email or in the app. The paid and unused subscription period is then refunded, pro rata.
  • In every case, the money due to you in your pots is returned under the rules of section 12. Termination only gives rise to a subscription refund in the cases set out in section 11.

Legal guarantee of conformity

The Pooly service, free or paid, is a digital service supplied continuously: under Articles L.224-25-12 et seq. of the French Consumer Code, we are liable for any lack of conformity that appears throughout the period over which the service is supplied. To report a defect, write to contact@pooly.info.

The consumer is entitled to enforce the legal guarantee of conformity if a lack of conformity appears within a period equal to the period over which the service is supplied — the whole life of your account for the free plan, each one-month or one-year subscription period for Premium and Pooly MAX — from the supply of the digital content or digital service.

The legal guarantee of conformity entails an obligation to supply all updates needed to keep the digital content or digital service in conformity throughout that same supply period.

The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without significant inconvenience to them.

The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or digital service, if:

1° The trader refuses to bring the digital content or digital service into conformity;

2° Bringing the digital content or digital service into conformity is unjustifiably delayed;

3° The digital content or digital service cannot be brought into conformity without costs being imposed on the consumer;

4° Bringing the digital content or digital service into conformity causes significant inconvenience to the consumer;

5° The lack of conformity persists despite the trader’s unsuccessful attempt to bring the digital content or digital service into conformity.

The consumer is also entitled to a price reduction or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination. The consumer is then not required to ask first for the digital content or digital service to be brought into conformity.

Where the lack of conformity is minor, the consumer is only entitled to cancel the contract if the contract does not provide for the payment of a price.

Any period during which the digital content or digital service is unavailable in order to be brought back into conformity suspends the remaining guarantee period until the digital content or digital service is supplied in conformity again.

These rights result from Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.

A trader who obstructs in bad faith the enforcement of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be raised to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the digital content or digital service is kept, or to a full refund in exchange for giving up the digital content or digital service.

Liability

  • Under Article L.221-15 of the French Consumer Code, we are automatically liable for the proper performance of our obligations, including where they are performed by our service providers. We may be released from all or part of this liability by proving that the failure or improper performance is attributable to you, to the unforeseeable and insurmountable act of a third party to the contract, or to force majeure.
  • Pooly is not a party to agreements between members of a group and does not arbitrate their disagreements. Decisions taken in a group under its rules (spending, limits, invitations, removing members, closure, waivers) bind its members; the organizer and the admins answer for the ones they take. Pooly is not liable for the consequences of these decisions or for disputes between members, unless the damage results from Pooly failing to meet its own obligations. Goods and services bought with a Pooly card are the responsibility of the merchants who supply them.
  • We do what is needed to keep the service available at all times; it may however be interrupted for maintenance, updates or incidents, including at our service providers.
  • Nothing in these Terms limits the rights you have by law as a consumer.

Intellectual property

The Pooly brand, the app, the website and their texts, graphics and software belong to Morgan Bouchard EI (2B WEB) or its licensors. We grant you a personal, non-exclusive and non-transferable licence to use the app for the life of your account. Any unauthorised reproduction, extraction or use is prohibited. The open source libraries included remain governed by their own licences (Menu › About › Open source licenses). Merchant names and logos shown in the app, for example on an expense, belong to their owners; they are only used to identify the merchant of a payment and do not imply any partnership with Pooly.

Personal data

How your personal data is processed is described in the privacy policy, presented at sign-up and available at any time in the app and at pooly.info/confidentialite. You can exercise your rights at contact@pooly.info.

Changes to these Terms

We may change these Terms, in particular to reflect changes to the service or the law. Each version is dated and numbered. A new version is shown to you in the app at least 30 days before it takes effect: you can accept it straight away, or keep using the service under the previous version until that date. After that, continuing to use the service requires accepting the new version; if you refuse it, you can terminate the contract free of charge by deleting your account (section 15). A current subscription remains governed by the previous version until the end of the period already paid. A change required by law or needed for the security of the service may apply sooner.

Complaints and governing law

  • Complaints: write to contact@pooly.info or use Menu › Contact us.
  • Governing law: these Terms are governed by French law. If you live outside France, you keep the protection given to you by the mandatory provisions of the law of your country of residence.
  • Courts: failing an amicable settlement, the dispute is brought before the competent court under the French Code of Civil Procedure; you may also bring it before the court of the place where you lived when the contract was concluded or where the harmful event occurred (Article R.631-3 of the French Consumer Code).
  • Language: these Terms are available in French and English; in case of discrepancy, the French version prevails.
